These Terms and Conditions ("Terms") govern your access to and use of our website and the dispatching services provided by Tranzivo Logistics ("Company," "we," "our," or "us"). By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our website or services.
1. Services
Tranzivo Logistics provides independent truck dispatching services to owner-operators and motor carriers. Our services may include:
- Load sourcing and booking
- Rate negotiation with freight brokers
- Route planning assistance
- Broker communication
- Administrative paperwork related to dispatched loads
- General dispatch support
Tranzivo Logistics is an independent dispatch service and is not a freight broker, motor carrier, shipper, or transportation provider.
2. Carrier Responsibilities
The carrier remains solely responsible for:
- Maintaining active FMCSA operating authority
- Maintaining all required licenses, permits, and registrations
- Maintaining required insurance coverage
- Compliance with all applicable federal, state, and local laws
- Compliance with all FMCSA and DOT regulations
- Driver qualifications and Hours of Service (HOS)
- Vehicle maintenance and safety inspections
- Cargo securement and safe transportation of freight
Nothing in these Terms transfers these responsibilities to Tranzivo Logistics.
3. No Guarantee of Loads or Revenue
While we work diligently to locate quality freight opportunities and negotiate competitive rates, Tranzivo Logistics does not guarantee:
- Continuous freight availability
- Minimum freight rates
- Specific income or profits
- Business growth
- Acceptance of loads by brokers
- Broker payment
Market conditions, weather, seasonal demand, and broker decisions are beyond our control.
4. Independent Contractor Relationship
Tranzivo Logistics acts solely as an independent contractor providing dispatching services. Nothing in these Terms creates a partnership, joint venture, agency, employment relationship, or freight brokerage relationship between Tranzivo Logistics and any carrier.
5. Dispatch Fees
Dispatch fees are established separately in the Dispatch Service Agreement executed between Tranzivo Logistics and the carrier.
Failure to pay agreed fees may result in suspension or termination of services.
6. Broker Payments
Payments for freight services are made directly between brokers and carriers unless otherwise agreed in writing.
Tranzivo Logistics is not responsible for:
- Broker payment delays
- Broker non-payment
- Factoring disputes
- Chargebacks
- Claims relating to freight charges
7. Website Use
You agree not to:
- Use the website for unlawful purposes.
- Attempt to gain unauthorized access to our systems.
- Upload malicious software or harmful code.
- Copy, reproduce, or distribute website content without written permission.
8. Intellectual Property
All content on this website, including text, graphics, logos, branding, designs, images, and other materials, is the property of Tranzivo Logistics unless otherwise stated.
Unauthorized use, reproduction, or distribution is prohibited.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Tranzivo Logistics shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, business interruption, loss of revenue, data loss, or goodwill arising from the use of our website or services.
Our total liability, if any, shall not exceed the amount paid by the carrier to Tranzivo Logistics for dispatch services during the thirty (30) days immediately preceding the event giving rise to the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless Tranzivo Logistics, its owners, employees, contractors, and affiliates from any claims, liabilities, damages, losses, costs, or expenses arising out of:
- Your violation of these Terms
- Your violation of applicable laws or regulations
- Cargo claims
- Accidents
- Insurance disputes
- FMCSA or DOT violations
- Your operation of commercial vehicles
11. Termination
We reserve the right to suspend or terminate access to our website or services at any time, with or without notice, if these Terms are violated or if continued service is determined to be inappropriate.
12. Privacy
Your use of our website is also governed by our Privacy Policy. By using our services, you consent to the collection and use of information as described in that policy.
13. Changes to These Terms
We may update these Terms from time to time without prior notice. The revised version will become effective upon publication on this website. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the state in which Tranzivo Logistics is organized, without regard to its conflict of law principles.
